Govt. plans to overhaul company law amid eROC System issues
Sri Lanka’s digital company registration platform, the eROC system, has slowed down following a major technical collapse since mid-July 2025, crippling key services of the Department of the Registrar of Companies (ROC).
ROC authorities said a technical team is actively working to restore full functionality within two weeks, citing system overload and technical failures as the main causes.
The disruption has caused delays in company incorporations, director filings, and document certifications, with businesses and legal professionals expressing growing frustration.
According to ROC officials, the system’s performance began deteriorating after a critical maintenance contract with KPMG expired in May 2025.
With no disaster recovery or IT backup measures in place, the platform went offline on July 14, with further outages reported on July 21, 23, and 25. The failure is estimated to have caused daily revenue losses of Rs. 7–8 million due to stalled registrations and filings.
The platform’s breakdown has particularly impacted high-volume activities such as Principal Component Analysis (PCA)-related forms and tender submissions.
In the wake of ROC digital service issues, the government is fast-tracking new legislative reforms to modernise Sri Lanka’s corporate registration and regulatory framework.
One major proposal includes re-registering all active companies—over 200,000 entities—to update and verify official records.
Another key reform would mandate the creation of a Beneficial Ownership Register, requiring disclosure of individuals who own or control 25 per cent or more of a company. These measures are in line with international standards recommended by the Financial Action Task Force (FATF).
Despite the national-level digital paralysis, offshore company registrations under the Colombo Port City framework remain fully operational, official source said.
Governed by the Colombo Port City Economic Commission under its own legal regime—the Port City Economic Commission Act No. 11 of 2021—offshore registrations are processed independent of the eROC platform.
