Directors’ duties under the new Companies Act

The Institute of Chartered Secretaries and Administrators (ICSA) in Sri Lanka has organised a seminar on the “Duties of Directors” under the new Companies Act on March 2.

K. Kanag-Isvaran, President’s Counsel, Chairman of the Company Law Advisory Commission, Dr. Harsha Cabral, President’s Counsel, Member of the Company Law Advisory Commission and of the Law Commission of Sri Lanka, J.M. Swaminathan, Attorney-at-Law, Member of the Company Law Advisory Commission and Partner of Julius & Creasy, Neomal Goonewardena, Attorney-at-Law, ACA, ACMA, CFA, MBA and Partner of Nithya Partners, Suren Rajakarier, FCA, FCMA and Partner of KPMG Ford Rhodes Thornton & Company constitute the eminent and experienced presenters at the seminar and members of its panel for discussion.

The new Companies Act contains very important features and will be larger in content than the present one, some provisions of which have changed drastically.

Thus, awareness and knowledge of the new law is no doubt vital for all persons interacting or intending to interact in the future in the corporate sphere, the ICSA said.
